Selected business terms from the fictional model example. This excerpt is not a complete LOI or an offer for acceptance.

Start with the source.

  • The current proposal, counteroffer and relevant deal notes.
  • The intended parties, premises, offer round and authorized signatory.
  • Your approved template and clause language, plus the financial model when available.

Work you can make yours.

  • An editable LOI in the supplied house format or neutral term layout.
  • A separate record of unresolved terms and changes.
  • A check of the draft’s economics against the controlling proposal and model.

From source to review.

01

Identify the controlling round.

Trace terms to their source and date. A counter changes the items it actually changes; silence does not become acceptance.

02

Reconcile the economics.

Check area, rate units, escalation timing, expenses, concessions and TI. Lease commencement, rent commencement and early access are separate terms.

03

Preserve the language.

Carry forward approved wording where appropriate, identify proposed changes and review the rendered pages for leftover identities or incomplete clauses.

Built for the way you represent.

Tenant reps

Support the client’s decision.

Prepare an initial offer or revise a counter without losing the client’s requested terms or the questions still awaiting a landlord response.

Landlord reps

Put the proposal in context.

Organize an owner-authorized counter and its open items. Provide the owner’s approved terms and language for the draft to follow.

Your final review

  • Confirm parties, signatory, source versions and every substantive term.
  • Have the broker and legal reviewer resolve legal wording and binding provisions.
  • Drafting does not submit, sign or accept an offer. A change summary is not a tracked-changes Word redline.

A few useful details.

Ask Andrew
Can I use an existing LOI?

Yes. Supply the document and the current terms. The workflow works on a copy and preserves approved styles, unchanged language, exhibits and numbering where possible.

What does it do with a missing term?

It records the open item instead of supplying an assumed concession, date or legal provision from another deal.

Does an LOI automatically mean nonbinding?

No. The workflow preserves the source’s binding and nonbinding language and flags ambiguities for professional review. It does not determine legal effect from the document title.
